These Terms of Service (the “Terms”) govern your access to and use of the Ascend platform and related services (the “Service”), provided by Smart Global Technologies Inc., a company incorporated in Ontario, Canada (“SGT”, “we”, “us”). By subscribing to or using the Service, you (the “Customer”) agree to these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization.
Ascend is a business platform that orchestrates AI agents together with your human team to help you run operations and reach the outcomes you define. The Service is provided as a multi-tenant, cloud-based subscription and may include modules for sales, communications, workflow orchestration, and related capabilities. We may add, modify, or discontinue features over time.
After you subscribe, your workspace (tenant) is provisioned automatically and you receive an activation email to set your password and access the Service. You are responsible for maintaining the confidentiality of your credentials, for all activity under your account, and for the users you create within your workspace. You must provide accurate account information and keep it up to date.
The Service is offered on monthly or annual subscription plans. A 7-day trial may be available for eligible plans. Payments are processed by Stripe. By subscribing you authorize recurring charges to your payment method for the applicable plan until you cancel.
You are responsible for how you configure and operate your AI agents and for the content processed through the Service. You must use the Service lawfully and comply with all applicable laws and third-party terms, including when you connect and use integrations such as telephony (SIP/VoIP), email, WhatsApp, and Zoom. You are responsible for obtaining any required consents (for example, for recording calls or contacting individuals) and for the messages, calls, and communications your workspace sends. You may not use the Service to send unlawful, infringing, deceptive, or abusive content, to violate others’ rights, or to attempt to disrupt or gain unauthorized access to the Service.
As between the parties, you own your data and the content you upload to or generate within the Service (“Customer Data”). You grant us a limited license to host, process, and transmit Customer Data solely to provide and support the Service. We and our licensors own all rights in the Ascend platform, software, and underlying technology; nothing in these Terms transfers ownership of the platform to you.
Each party will protect the other’s confidential information with reasonable care and use it only as needed to perform under these Terms. We treat your Customer Data as confidential and maintain tenant isolation through a dedicated database per customer, as further described in our Privacy Policy.
We aim to make the Service available with high reliability and to provide reasonable support during business hours. The Service may occasionally be unavailable due to maintenance, updates, or factors beyond our control. We do not guarantee uninterrupted or error-free operation, but we work to restore service promptly and to minimize disruption.
To the maximum extent permitted by law, the Service is provided “as is” without warranties of any kind. We will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total aggregate liability arising out of or relating to these Terms will not exceed the amounts you paid for the Service in the twelve (12) months preceding the event giving rise to the claim.
You may cancel your subscription at any time, effective at the end of the current billing period. We may suspend or terminate the Service for material breach of these Terms, non-payment, or unlawful use. Upon termination, your right to use the Service ends; we will make Customer Data available for a limited period for export before deletion, subject to legal retention requirements.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The courts located in Ontario, Canada will have exclusive jurisdiction over any dispute arising from these Terms or the Service.
